Im just back from india and have been asked by a centre i have been working with to set up a volunteer programme.
I therefore must set up a way to take money from volunteers to cover costs and also find a way to advertise to attract interest. It is my hope to also build in a funrdaising element so that extra money can directly go to the centre for sponserships for the children's tuition etc.
I have started looking into the various ways of setting up company's or a charity but not sure where to go from here, Any advice would be appreciated....

A big "yeah, that" from me. There are a *lot* of international volunteering charities out there. You will almost certainly be able to get more bang for your buck (in terms of both time and money) by going through existing organisations where possible. If none exist, then find "closest to" and negotiate - the organisation concerned would almost certainly be prepared to talk to you about working together.

The Charity Commission has excellent guidance on setting up a charity on their website. You'll need a couple (at least) of Trustees, and, if you choose them carefully, they may help considerably in the fundraising.
For the exercise you describe, I would suspect that a registered charity would be the way to go - gift aid and other forms of tax-efficient giving could be important, and the governance regime should give donors confidence that their money is going where it should and providing valuable services.
You could do with an adviser who is local to you - there is probably a local CVS with such a person on the staff. There are many questions which it is diffiult to answer in a forum such as this.
